  1. Advertising Content
    1. Adv. Materials
      1. Advertiser is responsible for providing BrightByte all materials required for the campaign.
      2. Custom Adv. Materials developed by BrightByte can only be used within BrightByte's network.
      3. Approved content cannot be modified without prior consent, except for non-material changes.
    2. Adv. Requirements
      1. BrightByte is not responsible for Advertiser's content compliance with laws.
      2. If regulatory authorities contact BrightByte, Advertiser must handle claims independently.
      3. BrightByte reserves the right to reject any advertisement at its discretion.
    3. Adv. Placement & Codes
      1. Advertisements may appear in locations determined by BrightByte.
      2. Each advertisement must include tracking codes that cannot be modified.
  2. Campaigns
    1. CPA Campaigns – Cost-per-action campaigns include signups, purchases, and registrations.
    2. CPM Campaigns – Advertiser pays for impressions or email deliveries.
    3. CPC Campaigns – Advertiser pays per click, with strict tracking regulations.
    4. Email Marketing Campaigns – All email campaigns must comply with anti-spam laws.
  3. Tracking and Payment
    1. Advertiser agrees to pay BrightByte based on campaign tracking reports.
    2. Invoices must be paid within the agreed timeframe.
    3. Disputes regarding invoices must be reported within 10 days.
  4. Representations and Warranties
    1. Advertiser guarantees their materials comply with applicable laws.
    2. BrightByte is not responsible for third-party affiliate behavior.
  5. Invalid Actions & Low Quality
    1. BrightByte monitors traffic and may reject fraudulent actions.
  6. Intellectual Property
    1. BrightByte and Advertiser grant each other limited licenses for campaign purposes.
    2. Advertiser confirms they have rights to provided materials.
  7. Disclaimer of Warranty & Limitation of Liability
    1. BrightByte does not guarantee campaign performance.
    2. BrightByte is not liable for third-party actions.
  8. Indemnification
    1. Advertiser is responsible for any legal claims related to their advertisements.
  9. Non-Circumvention & Non-Solicitation
    1. Advertiser cannot solicit BrightByte affiliates for a period of 12 months.
  10. Confidentiality
    1. Both parties agree to maintain confidentiality for five years post-termination.
  11. Agreement Term & Termination
    1. Agreement renews automatically unless terminated with 30-day notice.
  12. Dispute Resolution
    1. Parties must attempt mediation before litigation.
    2. Disputes are governed by Wyoming law.
  13. Privacy Compliance
    1. Advertiser must comply with GDPR, CCPA, and other privacy laws.
  14. General Terms
    1. Assignment of rights requires written consent.
    2. Relationship between parties is that of independent contractors.
    3. Force majeure conditions relieve both parties of liability.
    4. No public statements can be made without written approval.
