- Advertising Content
- Adv. Materials
- Advertiser is responsible for providing BrightByte all materials required for the campaign.
- Custom Adv. Materials developed by BrightByte can only be used within BrightByte's network.
- Approved content cannot be modified without prior consent, except for non-material changes.
- Adv. Requirements
- BrightByte is not responsible for Advertiser's content compliance with laws.
- If regulatory authorities contact BrightByte, Advertiser must handle claims independently.
- BrightByte reserves the right to reject any advertisement at its discretion.
- Adv. Placement & Codes
- Advertisements may appear in locations determined by BrightByte.
- Each advertisement must include tracking codes that cannot be modified.
- Campaigns
- CPA Campaigns – Cost-per-action campaigns include signups, purchases, and registrations.
- CPM Campaigns – Advertiser pays for impressions or email deliveries.
- CPC Campaigns – Advertiser pays per click, with strict tracking regulations.
- Email Marketing Campaigns – All email campaigns must comply with anti-spam laws.
- Tracking and Payment
- Advertiser agrees to pay BrightByte based on campaign tracking reports.
- Invoices must be paid within the agreed timeframe.
- Disputes regarding invoices must be reported within 10 days.
- Representations and Warranties
- Advertiser guarantees their materials comply with applicable laws.
- BrightByte is not responsible for third-party affiliate behavior.
- Invalid Actions & Low Quality
- BrightByte monitors traffic and may reject fraudulent actions.
- Intellectual Property
- BrightByte and Advertiser grant each other limited licenses for campaign purposes.
- Advertiser confirms they have rights to provided materials.
- Disclaimer of Warranty & Limitation of Liability
- BrightByte does not guarantee campaign performance.
- BrightByte is not liable for third-party actions.
- Indemnification
- Advertiser is responsible for any legal claims related to their advertisements.
- Non-Circumvention & Non-Solicitation
- Advertiser cannot solicit BrightByte affiliates for a period of 12 months.
- Confidentiality
- Both parties agree to maintain confidentiality for five years post-termination.
- Agreement Term & Termination
- Agreement renews automatically unless terminated with 30-day notice.
- Dispute Resolution
- Parties must attempt mediation before litigation.
- Disputes are governed by Wyoming law.
- Privacy Compliance
- Advertiser must comply with GDPR, CCPA, and other privacy laws.
- General Terms
- Assignment of rights requires written consent.
- Relationship between parties is that of independent contractors.
- Force majeure conditions relieve both parties of liability.
- No public statements can be made without written approval.
